Terms & Conditions

1. General Terms

These Terms and Conditions govern the business relationship between SEAL Indonesia ("the Company") and the client ("the Buyer"). By placing an order, the Buyer is deemed to have read, understood, and agreed to all terms stated below.

2. Ordering and Confirmation

• Orders are considered confirmed after the Buyer approves the quotation in writing and makes the down payment (DP).
• Minimum order quantity (MOQ) applies according to the product type ordered.
• Specification changes after order confirmation may incur additional costs and/or extended production time.
• Order cancellation after production has commenced cannot be accepted. Down payments already made are non-refundable.

3. Pricing and Payment

• Prices quoted are valid for 14 calendar days from the quotation date, unless otherwise stated.
• Prices exclude 11% VAT (PPN) and shipping costs, unless otherwise stated in the quotation.
• Standard payment terms: 50% down payment upon order confirmation, 50% balance before shipment.
• For clients with ongoing business relationships, special payment terms may be negotiated.
• Late payment may result in production and/or delivery delays.

4. Artwork and Design

• The Buyer is responsible for providing artwork files in the appropriate format (AI, PDF, or high-resolution vector format).
• The Company provides free design services for technical adjustments (dielines, bleed, color separation).
• Written artwork approval from the Buyer is required before production begins.
• The Company is not liable for errors contained in artwork that has been approved by the Buyer.
• Minor color differences between digital proofs and printed results may occur due to media differences and are considered normal.

5. Production and Lead Time

• Production time is calculated from the date of artwork approval and receipt of down payment.
• Standard production time: 14-21 working days for most products. IML and specialty products require 30-45 working days.
• Production quantity tolerance: +/- 5% of the ordered quantity is an industry standard and will be charged based on actual quantity produced.
• The Company will endeavor to meet production schedules, but delays due to force majeure, raw material delays, or circumstances beyond control are not the Company's liability.

6. Quality Control

• All products undergo multi-stage quality control before shipment.
• Quality claims must be submitted in writing within 7 calendar days after receipt of goods, accompanied by photo documentation.
• The Company will replace products proven to have production defects at no additional cost.
• Claims do not apply to damage caused by improper storage, incorrect handling, or use outside product specifications.

7. Delivery

• Delivery is made to the address specified by the Buyer throughout Indonesia.
• Shipping costs are borne by the Buyer, unless otherwise agreed.
• Risk of loss or damage during shipping transfers to the Buyer once goods are handed over to the courier.
• The Buyer must inspect goods upon receipt and report shipping damage to the courier.

8. Confidentiality

The Company maintains confidentiality of all business information, designs, and client data. Client information will not be shared with third parties without written consent, except as required by law.

9. Force Majeure

Neither party shall be liable for delays or failure to fulfill obligations caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government regulations, war, or global supply chain disruptions.

10. Dispute Resolution

Any disputes arising from or related to these Terms and Conditions shall be resolved through amicable negotiation. If negotiation fails, disputes shall be settled through the Indonesian National Arbitration Board (BANI) in accordance with the laws of the Republic of Indonesia.
